Governing Law

These Terms shall be governed by and construed in accordance with the law of England and Wales.

Liability

We act as a platform. We are not responsible for the events themselves.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Proud ("we", "us", "our"). By using our services, you agree to these Terms. Not agreeing? Then please do not use our services.

1. General Terms

1.1 Eligibility

You must be at least 18 years old to create an account, host an event, or purchase a ticket on Proud.

1.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

1.3 Platform Nature

Proud is a platform that connects event organizers ("Organizers") with event attendees ("Attendees"). We are not the creator, organizer, or owner of the events listed on the Service, except where explicitly stated.

2. Terms for Organizers

2.1 Event Listings

When you create an event, you must provide accurate, complete, and up-to-date information. You represent and warrant that you have all necessary rights and permissions to host the event and use any content you upload (images, descriptions).

2.2 Ticketing & Fees

Proud charges a service fee on sold tickets. This fee is automatically deducted from the transaction amount before payout. You are responsible for setting the ticket price and handling any applicable taxes (e.g., VAT).

2.3 Cancellations & Refunds

It is your responsibility to communicate your refund policy to Attendees. If you cancel an event, you must refund all Attendees. Proud reserves the right to issue refunds on your behalf if an event is cancelled or significantly misrepresented.

2.4 Payouts

Payouts are processed securely via our payments partner. Funds are typically released after the successful conclusion of the event, subject to our fraud prevention policies.

3. Terms for Attendees

3.1 Ticket Purchases

When you buy a ticket, you are entering into a contract with the Organizer, not Proud. We strictly facilitate the transaction.

3.2 Refunds

Refunds are governed by the Organizer's policy, which is displayed on the event page. Proud fees are generally non-refundable unless the event is cancelled.

3.3 Event Entry

The Organizer reserves the right to refuse entry or eject you from an event if you breach their rules or the venue's policies. No refund will be provided in such cases.

4. Legal & Liability

4.1 Limitation of Liability

To the maximum extent permitted by law, Proud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

We are strictly not liable for any personal injury, loss, or damage occurring at an event. You attend events at your own risk.

4.2 Indemnification

You agree to defend, indemnify, and hold harmless Proud from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Service or your violation of these Terms.

4.3 Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
